2.1 IT WAS NOTED that a quorum was present and the Chair declared the meeting open.

2.2 There was produced to the meeting a notice (Notice) convening the meeting and, with the consent of all members present, the Notice was taken as read.

1. RESOLUTIONS

The resolutions set out in the Notice were duly proposed and voted upon and the Chair declared that resolution in the Notice had been duly passed on a poll as a special resolution. A schedule of the votes cast on each resolution is attached to and forms part of these minutes.

There being no further business, the Chair declared the meeting closed.
