Subject: The acquisition of Advanced Information Technology Public Company Limited’s share by Turnkey Communication Services Public Company Limited (Revised)

According to Turnkey Communication Services Public Company Limited (“TKC”), there was a resolution approved by the Extraordinary General Meeting of Shareholders No. 1/2023 on October 9, 2023 to acquire of shares of Advanced Information Technology Public Company Limited (“the Company”) including the execution of the share purchase agreement, and other arrangements, contracts and documents relating to the acquisition of shares. The company would like to inform that the transaction would affect the shareholder structure of the company after this transaction. The details have changed as follows.

In calculating the transaction for purchasing the Company's ordinary shares which refers to the invitation to the Extraordinary General Meeting of Shareholders of TKC No.1/2023, the company has registered capital of 1,547,406,727 baht and has paid-up capital of 1,431,373,734 baht divided into 1,431,373,734 shares at a par value of 1 baht per share. Entering into this transaction will make TKC a major shareholder of the Company. However, the Company and TKC do not have conflicts of interest in competing due to different nature of business,
such as TKC provides telecommunications systems, but the Company does not provide such services, or TKC provides data communication business systems in the IP Network or Smart Solution, whose main partner is Huawei while the Company provide services in the areas of Data Center or Cloud Solution whose main partner is Cisco,
etc. It can be seen that if the two companies become business partners, they will be able to increase their competitiveness, resulting in more comprehensive services.
