Advanced Information Technology Public Company Limited (the “ Company ”) would like to inform you that the Company has acknowledged the resolution of Board of Directors’ Meeting of Turnkey Communication Service Public Company Limited (“TKC”) No. 1/2025 that has approved to invest in the ordinary shares of the Company through a Voluntary Partial Tender Offer (the “Offer”) from the existing shareholders of the Company, not exceeding 153,641,557 shares or is calculated to be no more than 10.00% of the total issued and paid-up shares of the Company, at a price of Baht 5.20 per share, as TKC has announced to the Stock Exchange of Thailand on February 14, 2025. In this regard, the Offer mentioned above is subject to the condition that the Company must obtain approval from its shareholders’ meeting for TKC to make the Offer and receive an exemption from the Securities and Exchange Commission to avoid making tender offer for all Company’s securities. The details are outlined in the referenced letter.

The Company will hold a meeting of the Board of Directors No.1/2025 to urgently consider the matter on February 17, 2025, and will inform the resolution of the meeting thereafter.
