This is with reference to the Public Announcement of Offer by Packages Limited (hereinafter referred to as the “Acquirer”) to acquire up to 585,254 ordinary shares of Sanofi-Aventis Pakistan Limited (“SAPL” or the “Target Company”) subject to a minimum level of acceptance of 409,677 shares. The Public Announcement of Offer was published in Business Recorder and Nawa-e-Waqt newspapers on June 30, 2022.

In this regard, we are pleased to inform you that we have dispatched the Offer Letters along with the instructions and Acceptance Forms to all the shareholders of the Target Company, other than Sanofi Foreign Participants B.V., the persons who is party to Share Purchase Agreement and persons acting in concert as reflected in the published Public Announcement of Offer.

Moreover, please note that in compliance with the requirements of the Securities Act, 2015 and Listed Companies (Substantial Acquisition of Voting Shares and Take-over) Regulations, 2017, an advertisement regarding the commencement of acceptance period has also been published in Business Recorder and Nawa-e-Waqt newspapers on August 15, 2022. The Acceptance period commences from August 17, 2022 and will end on August 23, 2022 (both days inclusive).

This is with reference to the public announcement of offer made by Packages Limited (hereinafter referred to as the “Acquirer”) in Business Recorder (English) and Nawa-e-Waqt (Urdu) newspapers on June 30, 2022.

It is hereby informed that acceptance period for the acquisition of shares of Sanofi-Aventis Pakistan Limited will commence from August 17, 2022 and will end on August 23, 2022 (both days inclusive). In this regards, the Offer Letter along with relevant instructions and an Acceptance Form has been dispatched to all the entitled shareholders.
