Book closure notice

for implementation of the Scheme of

Arrangement of Dawood Hercules Corporation Limited, Engro Corporation Limited and DH Partners Limited

Reference is being made to the Scheme of Arrangement between Dawood Hercules Corporation Limited ("DH Corp" and to be renamed as 'Engro Holdings Limited'), Engro Corporation Limited ("Engro Corp"), and DH Partners Limited ("DHPL") (the "Scheme"), which has been sanctioned by the Islamabad High Court vide its order dated July 18, 2024 with effect from January 01, 2025.

In this regard, the Share Transfer Books of the Engro Corp will remain closed from Wednesday – January 08, 2025 to Tuesday – January 14, 2025 (both days inclusive).

Transfers received in order at the office of our Share Registrar, FAMCO Share Registration Services (Private) Limited, 8-F, Near Hotel Faran, Block 6, P.E.C.H.S., Shahrah-e-Faisal, Karachi, PABX No. (+92-21) 34380101-5 and Email: [email protected] by the close of business (05:00 p.m.) on Friday – January 03, 2025 will be treated in time for the purpose of determining the entitlement for the implementation of the aforementioned Scheme of Arrangement.

The following timeline has been made and communicated for implementation of the aforementioned Scheme of Arrangement:

The following transfers and issuance of shares will be carried out in accordance with the Scheme, subject to the completion of all procedural requirements:

a. Transfer of Engro Corp shares from all existing shareholders of Engro Corp to DH Corp.
b. Issuance of DH Corp shares to Engro Corp shareholders based on a Swap Ratio of 2.24407865 DH Corp shares for each Engro Corp share held as of the first day of the Book Closure.
c. Replacement of pledged Engro Corp shares with DH Corp shares in the respective Investor Account Services ("IAS") / Sub-account of shareholders.

محرز اسلام آباد بانی کورٹ، نے نظم نامہ مورسہ 18 جولائی، 2024 کے تحت، داؤد برکولیس کا رپوریشن لمیٹڈ ("ڈی ایچ کارپوریشن"، جس کا نام "ایگزوکارپوریشن لمیٹڈ" رکھا جائے گا)، ایگزوکارپوریشن لمیٹڈ ("ایگزوکارپوریشن") اور ڈی ایچ پارٹرز لمیٹڈ ("ڈی ایچ پی ایل") کے درمیان "انکیم آف ارٹجمنٹ" کے متعلق جنوری 2025، 01 سے نافذ اصل ہونے کی منظوری دی ہے۔

ایگزوکارپوریشن کی صحت منظمی کی کتابیں اس حوالے سے بدھ، 8 جنوری 2025 سے منگل، 14 جنوری، 2025 تک (شمول دوولون ایام) بند رہی گی۔

بہارے شیر رزم زار کے آفس، ٹیم کو شیر رزم زرش سرورز (پر ایچ یت) لمیٹڈ F، F، زرد ہوش فاران، بابک 6، پی ای سی، ایچ آفس، شاپراو فیصل، کراچی، فون نمبر 34380101-5 (92-21+1) اور ای میل: [email protected] پر، جمہ 3 جنوری، 2025 کوگاردو باری دن کے اختتام (شام 5:00 بچہ) تک موصول ہوئے، والے فرائض کو نوٹو ہوا، بالانکیم آف ارٹجمنٹ کے نفاذ کی خاطر اشتاق کی تقرری کے لیے بروقت کہا جائے گا۔

نوٹو ہوا، بالانکیم آف ارٹجمنٹ کے نفاذ کے لیے درج ذیل شیڈول تیار کیا گیا ہے۔

مندرجہ ذیل فرائضز راور شیرز کا ایرا انکیم آف ارٹجمنٹ کے مطابق کیا جائے گا، جو تمام طریقہ کار کے تقاضوں کی تکمیل سے مشروط ہو گا:

b. ایگزوکارپوریشن کے شیر ہولڈرز کو ڈی ایچ کارپوریشن کے شیرز کا ایرا، جس کے تباہ کے نا کتاب فی ایگزوکارپوریشن شیرز کے متبادل، 24407865. 2 ڈی ایچ کارپوریشن شیرز ہو گا، جو کتاب بندش کے پہلے دن تک موجود ہوں گے۔

c. متعلقہ افواج (سارا کاؤنٹ سرورز "IAS") / سب اکاؤنٹ میں گروپ کے ہوئے ایگزوکارپوریشن کے شیرز کا ڈی ایچ کارپوریشن کے شیرز سے تبادلہ۔
