In accordance with Sections 96 and 131 of the Securities Act, 2015 and Clause 5.19.13 (c) of the Rule Book of the Pakistan Stock Exchange Limited, we hereby convey the following information:

This is in furtherance to our public disclosure dated March 27, 2017. We are pleased to inform you that the learned Appellate Bench of the Securities and Exchange Commission of Pakistan, in terms of its Order dated October 17, 2017, has been pleased to allow the Company’s Appeal No. 97 of 2017, challenging the Order dated: September 22, 2017 (“ Impugned Order ”), passed by the Assistant Director, (SMD-PRPD), whereby the Company was refused exemption from the applicability of Part IX (Takeovers) of the Securities Act, 2015, for acquisition of TPL Insurance Limited’s (formerly TPL Direct Insurance Limited) shares from Greenoaks Global Holding (69.12%). The learned Appellate Bench is pleased to set aside the Impugned Order.

We are hopeful that, subject to obtaining all necessary corporate and regulatory approvals, along with compliance with the applicable laws, the said transaction of reacquisition of shares from Greenoaks Global Holding will be completed by 31^st December 2017.

A Disclosure Form as required by SRO 143/(1)/2012 dated December 5, 2012 read with Sections 96 and 131 of the Securities Act, 2015 is also enclosed as Annexure A .
