In accordance with Sections 96 and 131 of the Securities Act, 2015 and Clause 5.19.13 (c) of the Rule Book of the Pakistan Stock Exchange Limited, we hereby convey the following information:
This is in furtherance to our public disclosure dated March 13, 2017; we wish to inform that TPL Trakker Limited (TPL) and Greenoaks Global Holdings Limited (GGH) have entered into a Share Purchase Agreement for the acquisition of 52,196,397 shares of TPL Direct Insurance Limited (TDI) by TPL from GGH (constituting approximately 69.12% of the issued and paid up share capital of TDI) at the price of PKR 24/- per share. The completion of the transaction is subject to obtaining all necessary corporate and regulatory approvals, along with fulfilment of necessary formalities and compliance with the applicable laws.
A Disclosure Form as required by SRO 143/(1)/2012 dated December 5, 2012 read with Sections 96 and 131 of the Securities Act, 2015 is also enclosed as Annexure A .
