Listing Rule 3.3 Notice

We give notice that the offer period for Santos CSG's takeover offer for QGC expired on 7 February 2007.

In accordance with rule 3.3 of the ASX Listing Rules, we give notice that:

• the percentage of ordinary shares in QGC in which Santos CSG and its $\bullet$ associates have a relevant interest is 3.86%; and
• compulsory acquisition can not, and will not, proceed. $\bullet$
