Replenish AGM Meeting Material Information

Replenish explanation in details for “Amendment to the Synnex Corporate Endorsement and Guaranty rule” and “Amendment to the Synnex Corporate Loan Granting Rule” of coming Annual General Meeting agenda.


For Appendix 4:

  • Article 4, to amend the ceiling of endorsement/guarantee amount to subsidiary from 70% of the subsidiary’s net worth to 100%, so that Synnex’s subsidiaries have more finance support from parent company to develop business without further loan from banks, for the sake of saving interest cost.

  • Regarding endorsing/guaranteeing synnex’s subsidiaries of over 50% ownership, there is no change of wording compares with previous version. For subsidiaries which Synnex owns less than 100%, Synnex is allowed to guarantee up to its pro-rata percentage in the subsidiary. The description in the rule only follows the government regulation.

  • Article 6 III, delete the wording of “following the SFAS NO.9 ” and replace by “providing relevant information to the company’s auditing CPA for performing the necessary review procedures”, for the sake of newly implementing IFRS from 2013 & request of Government law.

  • Article 6 V, to comprehensively state the definition of Capital Amount of endorsed/guaranteed subsidiary should include ‘paid-in-capital’, for the sake of clearer definition & request of Government law.

  • Article 7, to add the authorized person “Chairman” can sign off guarantee letter instead of only stating “board authorized person” can sign off document, for the sake of improving processing efficiency.

  • Article 9, to add the statement of event occurrence date – including contract date, payment date, board resolution date….which occurs earlier, which must be filed to government public website within the next 2 days, for the sake of government requests. The rest of wording revisions, like “The nature of long term investment” and the definition of “Net worth” in the last paragraph are also proposed revisions due to IFRS new implementation & Government requested.

  • Article 14, update for amending date.

For Appendix 5:

  • Article 3, same explanation as appendix 4’s Article 9 last paragraph.

  • Article 9, same explanation as appendix 4’s Article 9.
